Client Agreement

Components of the Client Memoir Agreement

This document outlines the standard components and principles that form the basis of the client agreements for Clarity Content Studio memoir projects. These principles are adapted from the Australian Publishers Association and IPEd standards to ensure professional clarity and mutual protection.

Every memoir project is unique; therefore, while these core components remain constant, the specific conditions and deliverables will be tailored to each author’s manuscript.

1.

Scope of the Work

The agreement explicitly defines the nature of the manuscript (e.g., biography, memoir, or family history) and the specific word count to be addressed. It outlines the specific editorial services required, which may include:

  • Manuscript Assessment: A high-level appraisal of content, structure, and style.
  • Developmental Editing: Deep structural work on voice, tone, and narrative arc.
  • Copyediting: Refining grammar, consistency, and factual accuracy.
  • Proofreading: The final check for typographical errors before production.
2.

Project Delivery & Timelines

To ensure a smooth collaborative process, the agreement specifies a clear schedule, including:

  • Deadlines for the delivery of original material from the author.
  • Key milestones for editorial feedback or structural reports.
  • Dates for the final delivery of the edited manuscript.
3.

Financial Terms

The agreement provides transparency regarding costs, typically structured as either a firm quote or an estimate based on hourly rates. It includes:

  • Detailed breakdown of total fees.
  • A payment schedule tied to specific project milestones or dates.
  • GST treatment and invoicing procedures.
4.

Rights and Responsibilities

The core principles of our collaboration are built on respect for the author’s vision and intellectual property:

  • Copyright: All copyright in the Work remains exclusively with the Author.
  • Editorial Control: The Author retains ultimate authority over which editorial suggestions are accepted or rejected.
  • Confidentiality: All shared materials, diaries, and drafts are treated with strict professional confidentiality and will not be disclosed to third parties.
  • Indemnity: While the editor provides professional guidance on legal risks (such as defamation or copyright), the author remains legally responsible for the final content.
5.

Professional Relationship

The agreement clarifies that the editor is engaged as an independent contractor. It also sets out the procedure for termination by either party, ensuring that the contractor is compensated for work already completed and that all original materials (photographs, notes, and manuscripts) are returned to the author.

Note: The final Letter of Agreement signed by both parties will contain the precise legal language and specific schedules relevant to your memoir project.
